Terms of use
1. Background
1.1 Prezentor has developed a cloud-based platform (the “Platform”), which includes presentation tools and related services.
1.2 The Customer’s users may access and use the Platform via personal profiles.
1.3 These Terms of Use apply between Prezentor and the Customer unless otherwise agreed in a separate written agreement.
2. Acceptance of Terms
2.1 Use of the Platform and Services is subject to these Terms of Use. By using the Platform, you agree to these Terms.
2.2 In case of conflict, these Terms apply except where mandatory law requires otherwise.
2.3 If you do not agree, you must cease using the Platform.

4. License
4.1 Prezentor grants a limited, non-exclusive, non-transferable license to use the Platform during the Term.
4.2 The Platform may be updated, modified, or discontinued at any time.
4.3 The Platform is licensed, not sold.
4.4 Customer must comply with all technical limitations.
4.5 Customer may not:
* Reverse engineer or modify the Platform
* Distribute, sublicense, or resell the Platform
* Use the Platform for third-party hosting
* Remove proprietary notices
* Use the Platform unlawfully
5. Use of the Platform
5.1 Customer is responsible for ensuring the Platform meets its needs.
5.2 Customer is responsible for all users under its account.
5.3 Prezentor may send service-related communications.
6. Content
6.1 Customer is responsible for all content uploaded.
6.2 Prezentor may remove content that violates laws or policies.
6.3 Customer must not upload unlawful, harmful, or infringing content.
7. Third-Party Services
The Platform may include third-party components subject to separate terms.
8. Support
Support is provided as agreed and may include helpdesk access and incident handling.
9. Service Levels
Availability and support levels are defined by Prezentor and may be provided upon request.
10. Warranty
10.1 The Platform will materially perform as described.
10.2 Prezentor may fix, replace, or refund in case of defects.
10.3 The Platform is provided “as is” without additional warranties.
11. Intellectual Property
11.1 The Platform and all related rights remain the property of Prezentor.
11.2 No rights are granted except as explicitly stated.
12. Fees
12.1 Fees are payable as agreed.
12.2 Late payments may incur interest.
12.3 Prezentor may suspend services for non-payment.
13. Term
13.1 These Terms apply during the agreed subscription period.
14. Termination
14.1 Either party may terminate with notice.
14.2 Upon termination, Customer must cease use of the Platform.
15. Indemnification
15.1 Prezentor will defend claims that the Platform infringes third-party rights.
15.2 This does not apply if misuse or modification caused the issue.
16. Customer Data
16.1 Customer retains ownership of its data.
16.2 Prezentor processes data only to provide and improve the Platform and related services.
16.3 Prezentor may use anonymized data for analytics.
16.4 Customer is responsible for lawful data collection and use.
17. Limitation of Liability
17.1 Liability is limited to fees paid in the previous 12 months.
17.2 Prezentor is not liable for indirect or consequential damages.
18. Disclaimer
The Platform is provided without guarantees of uninterrupted or error-free operation.
19. General Terms
19.1 These Terms may only be amended in writing.
19.2 Force majeure applies.
19.3 Danish law applies, and disputes are handled in Copenhagen.
20. AI Features
20.1 The Platform includes AI-powered features, including transcription, summarisation and AI-assisted content generation.
20.2 AI processing is performed in accordance with applicable data protection laws.
20.3 AI-generated outputs are provided for informational purposes only and may contain inaccuracies. Customer is responsible for reviewing and validating such outputs.
20.4 Customer is responsible for ensuring that any data uploaded to AI features, including audio recordings, is collected and processed in compliance with applicable laws, including obtaining any required consents.
20.5 Prezentor does not use Customer Data to train AI models.
20.6 Prezentor may modify or discontinue AI features at any time.
